12. General
12.1 These terms and conditions constitute the entire agreement of the parties with respect to the subject matter hereof and supersede all prior oral and written agreements. No failure or delay on our part in exercising any right or remedy hereunder or enforcing the terms and conditions of this agreement will operate as a waiver thereof.
